Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Filmpeak Studio, the operator of Fince. Please read them carefully — using Fince means you accept them.

1. About these Terms

These Terms form a binding agreement between you ("you", "User") and Filmpeak Studio, a sole proprietorship registered in Malaysia (SSM Business Registration No. 202503331274 / TR0333439-W) ("Fince", "we", "us", or "Provider"), with registered address at 126-S Lorong Pala 6B, Taman Teluk Intan, Jalan Sultan Abdullah, 36000 Teluk Intan, Perak, Malaysia.

By creating a Fince account, downloading the Fince app, or using any Fince services (collectively, the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Service is provided as a digital ledger and bookkeeping tool for freelancers and solo founders in Malaysia. It is distributed via the Apple App Store and does not constitute financial, accounting, tax, legal, or audit advice.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18 (the age of majority in Malaysia), you may only use the Service with the consent and supervision of a parent or legal guardian, who agrees to these Terms on your behalf and accepts responsibility for your use of the Service. By creating an account, you represent that you meet these requirements and that the information you provide is accurate and complete.

3. Accounts

3.1 You are responsible for safeguarding your account credentials and for any activity that occurs through your account.

3.2 You agree to notify us immediately of any unauthorised use of your account.

3.3 App Lock. You may enable an optional in-app lock that requires Face ID, Touch ID, or your device passcode to open Fince. App Lock is an additional security layer on top of your account password and is performed entirely by your device's operating system; we do not receive or store your biometric data (see Privacy Policy, Section 2.7). If your device's biometric authentication fails, you can fall back to your device passcode or sign out and re-authenticate with your account password.

3.4 You may delete your account at any time directly inside the app via Settings > Account > Delete Account. Deletion is irreversible — see our Privacy Policy for details on data retention and backups after deletion.

4. Subscriptions, Pricing & In-App Purchases

4.1 Fince offers a free tier and one or more paid subscription tiers ("Paid Plans"). Paid Plans are purchased through Apple's In-App Purchase system inside the iOS app.

4.2 Pricing, billing period, and the features included in each Paid Plan are disclosed inside the app before purchase.

4.3 Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled. Payment is charged to your Apple ID account at confirmation of purchase and at the start of each renewal period. You will be charged for renewal within 24 hours prior to the end of the current period.

4.4 Cancellation. You may cancel any subscription at any time via Settings > Apple ID > Subscriptions on your iOS device. Cancellation takes effect at the end of the current paid period. No refund is issued for the unused portion of any paid period.

4.5 Restore Purchases. A "Restore Purchases" feature is provided inside the app to re-activate previously purchased entitlements after reinstalling.

4.6 Refunds. Refunds for in-app purchases are handled exclusively by Apple in accordance with Apple's Media Services Terms. We are unable to process refunds directly.

4.7 Price changes. We may adjust the price of any Paid Plan from time to time. Where price changes apply to existing subscribers, you will be notified in advance and given the option to cancel before the new price takes effect.

5. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose;
• use the Service to record fictitious transactions, evade tax obligations, or commit fraud;
• reverse engineer, decompile, or attempt to extract the source code of the Service;
• access the Service via automated means without our written permission;
• interfere with or disrupt the integrity or performance of the Service;
• use the Service to transmit malware, harmful code, or unsolicited communications;
• share, resell, or sublicense the Service to third parties without authorisation.

6. Your Data & Content

6.1 You retain ownership of all financial records, transactions, receipts, project data, and other content you enter into the Service ("User Content").

6.2 You grant Fince a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and back up your User Content solely to operate and improve the Service for you, and to comply with legal obligations.

6.3 We may use anonymised, aggregated data derived from User Content (data that cannot identify you or your business) to improve the Service, train classification models, and produce industry insights. We will not sell your raw User Content.

6.4 You are solely responsible for the accuracy, completeness, and legality of your User Content. Fince is not a substitute for a licensed accountant, tax agent, or auditor.

7. Intellectual Property

7.1 The Service, including all software, design, branding, code, AI models, classification logic, and documentation, is owned by Filmpeak Studio and protected by Malaysian and international copyright, trademark, and other intellectual property laws.

7.2 Subject to your compliance with these Terms, we grant you a limited, non-transferable, non-exclusive, revocable licence to use the Service for your personal or business purposes.

7.3 The "Fince" name, logo, and visual identity are our trademarks. No licence to use them is granted by these Terms.

8. Third-Party Services

The Service operates using the following third-party providers ("Sub-Processors"). Your use of the Service is also subject to the terms and policies of these providers where applicable:

• Apple Inc. — App distribution and In-App Purchase processing.
• Supabase, Inc. — Database, authentication, and serverless function hosting (data residency: currently Tokyo Region, Japan; migrating to Singapore Region).
• Google LLC (Google Cloud) — Receipt OCR via Google Cloud Document AI (data residency: asia-southeast1, Singapore).
• Google LLC (Google Workspace) — Email infrastructure for service communications.

9. Financial, Tax, Accounting & Legal Disclaimer

9.1 Fince is a record-keeping tool only. It does not provide accounting, tax, legal, audit, or financial advice.

9.2 Reports, summaries, dashboards, AI-assisted receipt categorisations, profit/loss calculations, and tax-category mappings generated by the Service may contain errors and are provided for your reference only.

9.3 You are solely responsible for the accuracy of your financial records and for your tax filings with the Inland Revenue Board of Malaysia (LHDN) or any other authority. Fince is not a substitute for a licensed accountant or tax agent.

10. Service Availability

10.1 We aim to keep the Service available 24/7 but do not guarantee uninterrupted availability. The Service is provided on an "as is" and "as available" basis.

10.2 We may suspend, withdraw, or restrict the availability of all or any part of the Service for business or operational reasons. We will give reasonable notice of any planned interruption where possible.

10.3 Beta or experimental features may be made available from time to time. These are provided "as is" without warranty and may be modified or removed at any time.

11. Limitation of Liability

11.1 To the maximum extent permitted by Malaysian law, the total aggregate liability of Filmpeak Studio to you for all claims arising out of or in connection with these Terms or the Service is limited to the greater of (a) the subscription fees paid by you to Fince in the twelve (12) months preceding the event giving rise to the claim, or (b) Malaysian Ringgit Five Hundred (RM 500.00).

11.2 In no event shall Filmpeak Studio be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, loss of data, or loss of opportunity, even if advised of the possibility of such damages.

11.3 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Malaysian law.

12. Indemnification

You agree to indemnify and hold harmless Filmpeak Studio, its proprietor, employees, contractors, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:

• your User Content;
• your misuse of the Service;
• your violation of these Terms or any applicable law (including tax law);
• your infringement of any third-party right.

13. Termination

13.1 You may terminate your account at any time via the in-app deletion flow (Settings > Account > Delete Account).

13.2 We may suspend or terminate your access to the Service immediately if you breach these Terms, use the Service unlawfully, or fail to pay subscription fees.

13.3 On termination by either party, your right to use the Service ceases immediately. You may export your data via the in-app export tool for thirty (30) days following termination, after which your User Content will be permanently deleted in accordance with our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top of these Terms reflects the most recent revision. Material changes will be notified to you via an in-app notice or by email at least seven (7) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law & Jurisdiction

15.1 These Terms are governed by and construed in accordance with the laws of Malaysia.

15.2 Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

16. Apple App Store — Additional Terms

This section applies in addition to all other Terms because the Service is distributed through the Apple App Store:

16.1 This Agreement is concluded between you and Filmpeak Studio only, and not with Apple Inc. ("Apple"). Filmpeak Studio is solely responsible for the Service and its content.

16.2 Apple has no obligation to provide any maintenance or support services with respect to the Service.

16.3 In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Service; to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the Service.

16.4 Apple is not responsible for addressing any claims by you or any third party relating to the Service, including product liability claims, consumer protection claims, or intellectual property infringement claims.

16.5 In the event of any claim by a third party that the Service or your possession and use of the Service infringes that third party's intellectual property rights, Filmpeak Studio (and not Apple) will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.

16.6 You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

16.7 You and Filmpeak Studio acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and Apple shall have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17. Miscellaneous

17.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Filmpeak Studio regarding the Service.

17.2 Severability. If any provision is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

17.3 No Waiver. Failure to enforce any provision does not constitute a waiver of that provision.

17.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a sale, merger, or reorganisation of our business.

17.5 Force Majeure. Neither party is liable for any failure or delay caused by events beyond reasonable control (including natural disaster, war, civil unrest, government action, network outages, or third-party service failures).
